Terms and conditions.
The terms on which Arc-One provides consultancy and delivery services. Where an engagement letter or scope document says something different, that document wins.
Where an engagement letter or scope document says something different from this page, that document takes precedence.
01 · Who we are
Arc-One is a consultancy registered in England and Wales, providing AI integration, automation and custom software services to businesses.
These terms apply to every engagement unless we have signed something that replaces them.
02 · What we agree before work starts
Every engagement begins with a written scope document. It names the problem, the thing we will build, the measure it has to move, the price, and the date. Nothing outside that document is in scope.
The scope document and the engagement letter together form the contract. Where anything on this website conflicts with them, they take precedence.
03 · Price and payment
Prices are fixed at the point the scope document is agreed and do not change for the duration of that scope. If the work takes us longer than we estimated, that is our cost to absorb, not yours.
A change to the scope is a new scope document with its own price, agreed in writing before the work begins.
Invoices are payable within 30 days of issue unless the engagement letter says otherwise. We may charge statutory interest on late payment under the Late Payment of Commercial Debts (Interest) Act 1998.
04 · The guarantee
Where an engagement letter states an outcome and a deadline, and we do not deliver that outcome by that deadline, you may request a refund of the fees paid for that engagement.
The guarantee covers our delivery. It does not cover outcomes that fail because agreed access, data, decisions or third-party systems were not provided, or because the scope was changed after work began.
The exact terms of the guarantee for any engagement are set out in that engagement letter, which takes precedence over this summary.
05 · What we need from you
- Access to the systems, data and people the scope document identifies.
- A named decision-maker who can approve or reject work without escalation.
- Responses within a reasonable period, so that a fixed date remains achievable.
- Lawful authority to give us access to any data you ask us to work with.
06 · Ownership of what we build
On payment in full, the intellectual property in the deliverables built specifically for you transfers to you, together with the documentation needed to run and change them.
We retain ownership of our pre-existing tools, libraries and methods, and grant you a perpetual, non-exclusive licence to use them to the extent they are embedded in your deliverables.
We may describe the shape of the work publicly in anonymised form. We will not name you, quote you, or publish your figures without your written permission.
07 · Confidentiality
Each of us will keep the other’s confidential information confidential, use it only for the engagement, and return or destroy it on request. This survives the end of the engagement.
Where we are given access to commercially sensitive material — contracts, financials, customer records — it is handled under the same terms as our own most sensitive material.
08 · Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, our total liability arising out of an engagement is limited to the fees paid by you for that engagement.
We are not liable for indirect or consequential loss, loss of profit, loss of anticipated savings, or loss of data, however arising.
09 · Ending an engagement
Either of us may end an engagement by written notice if the other is in material breach and has not fixed it within 30 days of being told.
On termination you pay for work completed to that point, and we hand over what has been built along with the documentation for it.
10 · Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
